Terms of Service

1. Who We Are and What These Terms Cover

SynSight ERP ("SynSight", "the Service") is a cloud-based garment manufacturing platform developed and operated by Syntera Labs (Pty) Ltd ("Syntera Labs", "we", "us"), a private company registered in South Africa (registration number 2026/348010/07), with its registered office at 24 Cradock Avenue, Rosebank, Johannesburg, Gauteng, 2196.

These terms are an agreement between Syntera Labs and the organisation that registers for the Service ("you", "the Customer"). By registering an organisation, accepting an invitation to one, or using the Service, you agree to them and to our Privacy Policy. If you register for a company, you confirm that you may bind it. A signed order or agreement with us takes precedence over these terms where the two differ.

2. The Service

SynSight provides tools for garment factories: styles and bills of materials, costing, purchasing and goods received, stock, production orders and their lifecycle calendar, cutting, bundles and barcodes, line balancing, line loading and output, quality, shipments, reports, integrations, and SynScout, an assistant that answers from your own data.

We improve the Service continually and may change features. We will give at least 30 days’ notice before removing a feature you rely on, and will not reduce the core of what your plan provides during a period you have paid for.

6. Acceptable Use

You agree not to: use the Service for anything unlawful; try to reach another organisation’s data; probe, scan or test the security of the Service without our written permission; overload or disrupt it; reverse engineer, copy, resell or sublicense it; upload malicious code; or use it to send unsolicited messages.

We may suspend access that breaks these rules, telling you why, and will restore it once the problem is resolved.

7. SynScout and Automated Features

SynScout answers questions and writes briefings from your organisation’s own records using Anthropic’s Claude models, as the Privacy Policy describes. It reads only and changes nothing. Like any AI system it can be wrong: it is an aid to the people who run the factory, not a substitute for their judgement, so check figures before you act on them. Use is metered per organisation to keep the Service responsive.

Calculated results such as line balances, cost sheets and schedules depend on the figures you enter. Check them before committing production or quoting a buyer.

8. Integrations

Where you connect SynSight to another service, such as SynLedger, you authorise us to send the relevant records to it for you and you are responsible for the credentials you provide. That service’s own terms govern what happens there.

10. Intellectual Property

The Service, its software, design, names and logos belong to Syntera Labs. These terms give you the right to use the Service during your subscription and nothing more. Suggestions you send us may be used to improve the Service without obligation to you.

11. Warranties

We will provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service is provided as is, without other warranties, including that it will be error-free or suit a particular purpose.

12. Liability

To the extent the law allows, neither party is liable to the other for indirect or consequential loss, lost profit, lost revenue or lost production, and each party’s total liability for all claims in any twelve months is limited to the fees you paid for the Service in those twelve months.

These limits do not apply to your payment obligations, to a breach of section 6, or to anything the law does not allow to be limited, including liability under the South African Consumer Protection Act where it applies and mandatory consumer rights in your own country.

13. Indemnity

You will indemnify Syntera Labs against claims by third parties arising from records or content you enter without the right to do so, or from use of the Service in breach of section 6.

14. Ending the Agreement

You may close your organisation at any time by writing to us from an administrator’s email address. We may end the agreement on 30 days’ notice, or at once if you materially break these terms and do not put it right within 14 days of our asking. If we end it without fault on your part, we will refund any fees paid for the period after it ends.

Sections 5, 10, 12, 13 and 16 continue after the agreement ends.

15. Changes to These Terms

We may update these terms. Where a change matters to you we will email account holders at least 14 days before it takes effect. If you do not agree, you may cancel before then; continuing to use the Service afterwards means you accept the change.
